Terms and conditions

These terms apply to all quotes, assignments and agreements of Jonteaux Enterprise, trading as Inframatiq (“I”), with a client (“you”). In case of any difference between this translation and the Dutch version, the Dutch version prevails.

1. Applicability

1. These terms apply to every quote and every agreement, unless we agree otherwise in writing.
2. The client’s own terms only apply if I have accepted them in writing.

2. Quotes and formation

1. A quote is valid for 30 days, unless it states otherwise.
2. An agreement is formed as soon as you accept a quote in writing or by email, or as soon as I start work at your request.

3. Performance

1. I carry out assignments carefully and to the best of my ability. Unless expressly agreed otherwise, this is an obligation of effort, not an obligation of result.
2. You provide the access, information and cooperation needed for the assignment in good time.
3. Stated deadlines are targets, not strict deadlines, unless we agree otherwise in writing.

4. Rates and payment

1. Rates are in euros and exclude VAT, unless stated otherwise.
2. Invoices are payable within 14 days of the invoice date.
3. For managed service agreements I invoice periodically in advance, as set out in the agreement.

5. Liability

1. My liability is limited to direct damage and to no more than the amount invoiced for the assignment concerned, capped at the amount paid out by my professional liability insurance in that case.
2. I am not liable for indirect damage, including consequential loss, lost profits and loss of data.
3. These limitations do not apply in case of intent or deliberate recklessness.

6. Confidentiality and data

1. I treat all information about your organisation, network and systems as confidential.
2. If I process personal data on your behalf during an assignment, we will sign a data processing agreement.

7. Documentation and intellectual property

You may freely use documentation and configurations I create specifically for your environment within your own organisation once the related invoices have been paid.

8. Term and termination

Managed service agreements run for the period and with the notice period stated in the agreement.

9. Governing law

All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district where I am established.
